- Project Commencement & Deposits
- 1.1 No design or development work will commence until the client has digitally accepted these terms and a non-refundable 50% deposit of the total project fee has cleared into the Designer’s bank account.
- 1.2 Once the deposit is paid, a project slot will be secured in the schedule, and a target completion date will be agreed upon.
- Client Responsibilities & Asset Provision
- 2.1 The client agrees to provide all necessary text, copy, branding assets, and high-resolution images required to complete the website.
- 2.2 The client must set up and link their own third-party payment gateways (e.g., Stripe, PayPal) as requested by the Designer to facilitate e-commerce functionality.
- 2.3 If the client fails to provide the required assets or gateway access within 14 days of a written request, the project will be placed “On Hold” and subject to rescheduling based on the Designer’s current availability.
- Payment Terms & Milestone Deadlines
- 3.1 The remaining 50% balance is due immediately upon layout completion and client approval of the staging site, prior to the website going live on the public domain.
- 3.2 If a project is delayed by more than 30 days due to client inaction (e.g., failure to provide copy or images), the remaining 50% balance will become due immediately, regardless of whether the final website has been launched.
- Late Payment Penalties & Statutory Rights
- 4.1 All invoices are strictly Due Upon Receipt unless alternative terms are specified in writing.
- 4.2 As this is a Business-to-Business (B2B) agreement, late payments are subject to statutory protections under the UK Late Payment of Commercial Debts (Interest) Act 1998.
- 4.3 Any invoice remaining unpaid past the specified deadline will automatically incur a statutory fixed compensation fee of £40.00.
- 4.4 Statutory interest will accumulate daily on overdue balances at a rate of 8% above the Bank of England base rate (currently totaling 12.25% per annum) until the debt is cleared in full.
- Website Hosting, Maintenance & SEO Subscriptions
- 5.1 Development Phase Hosting: While the website is under construction and hosted on a development or staging server, hosting is billed at a flat rate of £17.99 per month, payable in advance.
- 5.2 Live Phase Subscription: Upon the website going live on the public domain, the subscription automatically transitions to the Live Tier of £39.99 per month, payable in advance.
- 5.3 Scope of Live Service: The £39.99 monthly fee covers standard cloud hosting, essential security and plugin updates, minor text/image content maintenance (up to 1 hour of labor per month), and basic monthly search engine optimization (SEO) monitoring. Any major structural changes or new feature development outside this scope will be quoted separately.
- 5.4 Late Payment & Suspension: If any monthly subscription payment is overdue by 7 days or more, the Designer reserves the right to suspend the hosting server, pausing the website and all associated services without notice.
- 5.5 Reactivation Fee: A fee of £25.00 will be charged to restore and re-upload the website to the live server once the outstanding balance is cleared in full.
- Intellectual Property & Code Ownership
- 6.1 All custom HTML, CSS, JavaScript, graphic designs, and WordPress configurations built by the Designer remain the sole intellectual property of the Designer until all outstanding invoices are paid in full.
- 6.2 Upon full and final payment clearance, copyright and ownership of the completed website layout will transfer entirely to the client.
